Agility Robotics expects to raise about $465m as it heads to Nasdaq

Industry

Agility Robotics, the US maker of the Digit humanoid robot, expects to raise about $465m before costs when it completes its merger with Churchill Capital Corp XI, a listed shell company. The figures come from a 30 October release filed with the US Securities and Exchange Commission.

The money comes from three places: about $164m held in Churchill XI’s trust account, a share sale of about $201m to investors led by Foxconn, and $100m of equity already received. Churchill XI shareholders vote on 2 November. If they approve, the deal is expected to close on 4 November, with the combined company trading on Nasdaq as AGLT from 5 November.

Agility says it has more than $300m of multi-year orders for its next robot, Digit 5, and notes that this is not current revenue. It lists logistics firm GXO expanding Digit to two more sites, a manufacturing pilot with AGCO due to start in 2027, and three other manufacturers in paid programmes. Early Digit 5 deliveries are planned for the first half of 2027.

Why it matters: a listing would put a humanoid robot maker’s orders, costs and deployments under regular public reporting, a rare view into an industry that has so far been funded mostly in private.
