Agility Robotics clears the SEC on its way to a Nasdaq listing

The US Securities and Exchange Commission has declared effective the Form S-4 registration statement covering Agility Robotics’ proposed merger with Churchill Capital Corp XI, the blank-cheque company that would take the humanoid maker public. Churchill shareholders vote on 2 November, against a record date of 14 September, and the companies expect to close in November. The combined business would trade on Nasdaq as AGLT.

The announcement puts gross proceeds at more than $620m, of which roughly $424m comes from Churchill’s trust account assuming no redemptions and about $200m from a common stock private placement led by Foxconn. Agility names NVIDIA, DCVC, SoftBank Vision Fund 2, Abico and Playground Global among its investors, and Schaeffler, GXO and Toyota Motor Manufacturing Canada as commercial partners.

Why it matters: Agility says the combined company would be the only US listed pure-play humanoid robotics business with active commercial deployments, which is a claim about scarcity rather than scale. A listing forces quarterly disclosure of what humanoids actually earn, across the Digit robot, the Agility Arc fleet platform and the RoboFab plant the company says is built for up to 10,000 robots a year. Those numbers have been private until now.
